Before you begin, have your most recent Year-End Profit & Loss (P&L) statement open and ready. Having this document on hand is essential to properly assess your valuation and easily locate the numbers you need.

2. Finding Your Net Profit

For Step 1, you need your baseline net profit. If you use a bookkeeping software like QuickBooks, pull your most recent Year-End Profit & Loss (P&L) statement and look at the "Net Income" line at the very bottom.

Alternatively, look at your most recent tax return. Use the final taxable income figure before any personal income taxes are applied.

3. What is SDE?

SDE (Seller's Discretionary Earnings) is the metric buyers use to value small-to-medium businesses. Unlike your taxable net profit (which your accountant actively tries to keep low to avoid taxes), SDE shows the true, total financial benefit a single owner-operator receives from the studio.

4. Add-Backs vs Deductions

Add-Backs: Most studio owners run personal expenses through the business (car lease, cell phone, travel). A buyer won't be paying for your life insurance, so adding these back increases your SDE.

Owner Replacement Cost (Deduction): If you teach 20 hours a week and act as the primary receptionist, a new owner will have to hire staff to replace you. You must DEDUCT the fair market salary required to replace your labor. This gives an accurate "Absentee" or "Investment" valuation.

5. The Power of the Multiplier

Studios typically sell for 1.0x to 3.0x their total SDE. But what determines if you get a 1.2x or a 3.0x? Risk and Systems.

Buyers pay a premium for a business that runs itself. If you are teaching 20 hours a week and the studio falls apart when you take a vacation, your multiplier will be lower. If you have a fully trained staff, documented curriculum, and a long-term facility lease, your multiplier skyrockets.
